[Company Name], hereafter referred to as the "Contractor," and [Client Name], hereafter referred to as the "Client," hereby agree to the following terms and conditions for the mining contract:
1. Scope of Work
The Contractor agrees to provide mining services to the Client in accordance with the specifications outlined in the project plan. The scope of work includes, but is not limited to, exploration, drilling, blasting, excavation, hauling, backfilling, and reclamation.
2. Duration of Contract
This contract shall commence on [Start Date] and shall terminate on [End Date], unless otherwise terminated by either party upon thirty (30) days written notice.
3. Payment
The Client shall pay the Contractor for all services provided at the rates set forth in Exhibit A. The Contractor shall invoice the Client on a monthly basis for work performed during the preceding month. Payment of invoices shall be due within thirty (30) days of receipt.
4. Safety
The Contractor shall comply with all applicable federal, state, and local safety regulations, including but not limited to those related to explosives, worker safety, and environmental protection. The Contractor shall maintain a safe and healthy workplace and shall provide appropriate training and equipment to its employees.
5. Insurance
The Contractor shall obtain and maintain, at its own expense, liability insurance covering bodily injury and property damage arising out of or in connection with its work under this contract. The Contractor shall provide proof of insurance to the Client upon request.
6. Indemnification
The Contractor shall indemnify and hold harmless the Client from any and all claims, damages, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with the Contractor's performance under this contract.
7. Termination
Either party may terminate this contract upon thirty (30) days written notice. In the event of termination, the Contractor shall be entitled to compensation for work performed through the date of termination.
8. Confidentiality
All information provided by the Client to the Contractor shall be kept confidential and shall not be disclosed to any third party without the Client's prior written consent.
9. Governing Law
This contract shall be governed by and construed in accordance with the laws of the state of [State], without reference to its conflict of laws principles.
10. Entire Agreement
This contract and its exhibits constitute the entire agreement between the parties and supersede all prior negotiations, understandings, and agreements between the parties.
